The shares are being offered by certain existing stockholders at a public offering price of $50.50 per share. No shares of common stock are being offered by the Company in the offering and the Company will not receive any of the proceeds from this offering. In addition, certain selling stockholders have agreed to grant the underwriter for this offering an option to purchase an additional 1,504,971 shares of common stock.
